PIANOBOOK END USER LICENSE AGREEMENT & TERMS

THE BASICS 

Pianobook is a community of composers, musicians, producers, and samplists (people who create sample packs). The site mainly revolves around the sharing and free distribution of sampled digital instruments and audio files. 

FOR SAMPLISTS

Samplists are the wonderful people who upload their Sample Packs for us all to use. By uploading their files, they are responsible for the content within. When their files are uploaded, the content within is licensed to Pianobook and the Pianobook Community to use. 

Don’t worry! This doesn’t mean that we own your content, audio files, music, or any other thing you upload to the site. You still own the content. We just look after and distribute it for you. If you need to remove it from the site for any reason, just let us know via our Contact Form.

Note that we can only remove content from the site, which may have been downloaded by community members already. For this reason, be careful of what you upload- making sure it is copyright free and includes as much information about the content as possible so our team can let you know if it breaches our EULA/ Terms. 

FOR COMMUNITY MEMBERS

You’re welcome to sign into our site and get downloading our free sample packs provided by community members. Some of the packs require Kontakt Full- which you would need to purchase from Native Instruments. See their terms of use here. 

Some of the instruments use Decent Sampler, which needs to be downloaded from Decent Sampler. The creator can be contacted via their site here.

All Pianobook Libraries should be copyright free, which means you have license to use them on commercial and non-commercial recordings and compositions you create. We also promote community made demos using our Sample Packs, so be sure to submit your demos to our SoundCloud account. 

REFUND POLICY

If you have ordered one of our products in error but have yet to download it, please get in touch at spitfireaudio.com/support and we can refund the order as long as it is less than 14 days since your purchase.

Once a product has been downloaded, we cannot offer a refund for it.

ANY PERSON OR ENTITY (“User“, “You”, or “Samplist”) USING OR OTHERWISE ACCESSING THE SITE AT www.pianobook.co.uk (“Site”) OR ANY OF THE CONTENT AVAILABLE VIA THE SITE MUST AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS OF THIS END USER LICENCE AGREEMENT (“Agreement“).

PERSONAL DATA: You agree to provide only true, accurate and complete information to us via the Site. Any personal information provided by Users will be treated with appropriate care and security in accordance with, and by agreeing to this Agreement you expressly agree to the terms of, our Privacy Policy

1.               Contracting parties. The Site, together with all content, data and other materials contained therein (“Content”) are owned or controlled by Pianobook, a subsidiary Spitfire Audio Holdings Limited, a company incorporated in England with its registered office at 5th Floor 89 New Bond Street, London W1S 1DA, UK. Pianobook is referred to in these terms and conditions as “we“, “us“, “our” or “Pianobook”. When you register with (or otherwise access) the Service, you are contracting with Pianobook. Please note that if you register to use any products as a company or other entity, the licence for such use is granted to only the individual person registering or making such purchase and, for the avoidance of doubt, such licence is not transferable or extendable to other directors, owners, employees or persons connected to such company or entity.

2.              Passwords. You agree: to keep your password secure and confidential and to not allow anyone else to use your email address or password to access the Site or any Content; to not do anything which would assist anyone who is not a Registered User of the Service to gain access to any secured area of the Site, and; to not create additional registration accounts for the purpose of abusing the functionality of the Site or any Content, or other Users, or to seek to pass yourself off as another User. If you think someone else has obtained your account details, please let us know immediately via our contact form and we will secure your account as quickly as possible. Please note that you will be responsible to Spitfire Audio and to others for all activity that occurs under your registration account.

3.              Content. The Site and the Content are intended only for the purposes specified or implied therein, and your use of the Site and the Content is entirely at your own risk. Please note, whilst we endeavour to provide accurate and up-to-date information, the Content may not be wholly accurate or up-to-date, complete or free of defects, bugs, or malware that may harm your computer. We also cannot guarantee that materials submitted from the uploader (Samplist) is free from copyright or legal action. It is the responsibility of the uploader (Samplist) to make sure their uploaded materials do not violate the code of conduct herein. This subject to change, often at very short notice. 

All Content is provided without any representations or warranties of any kind (implied or express) to the fullest extent permitted by applicable law. Pianobook, unless otherwise stated herein, owns or controls all relevant intellectual property rights in the Site and the Content. 

You may not publish, distribute, extract, re-utilise, or reproduce any part of the Site or the Content in any form (including storing it in any medium) other than as expressly allowed herein or as set out in the Site and the Content (or under UK or local law). Save as expressly set out in this Agreement, the Site and the Content are for your personal use only, and are not for re-distribution, transfer, assignment or sublicense. Spitfire Audio will not be responsible if a Product does not fit your particular intended purpose.

4.              The Pianobook Service. Pianobook is an online distribution service (“Service”) that allows you to browse downloadable pre-recorded sounds, sound effects, loops and samples (“Sound Files”), and software files (“Software Files”). Together, the Sound Files and Software Files, and all accompanying downloadable documentation (“Documentation”), are the “Products”.

5.              Licence for Download and Use of Products.  By downloading a Product (and subject to your compliance with this Agreement), Pianobook grants to you (and only you) a non-exclusive, non-sublicensable, non-transferrable license to download and use the Products you download from Pianobook PROVIDED ALWAYS that you use the download Sound File(s) only within your own newly-created sound recording(s) and/or performances in a manner that renders the Sound File(s) substantially dissimilar to the original sound of the Sound File in each case. The Products (and all recordings and/or compositions incorporated therein) are the property of Pianobook and are licensed to you only for use as part of a live or recorded musical performance. You may not use these sounds for any commercial or non-commercial purpose except where you have combined them with other sounds within one or more musical composition(s) and/or recording(s)*. This license expressly forbids resale or other distribution of the Products or their derivatives, either as they exist in the library, reformatted for use in another sampler, or mixed, combined, filtered, re-synthesised or otherwise edited, for use as sounds, multi-sounds, samples, multi-samples, sound sets, programmes or patches in a sampler, microchip, computer or any sample playback device. You may not sell any Product(s), or give away any Product(s) for use by any other person(s) (unless you are providing additional files that are resampled, re-edited, or remastered to another sample tool/ plugin directly to Pianobook). Products may not be used in or in relation to any competitive products that are sold or relicensed to any third parties. Except as expressly permitted herein, to the fullest extent of applicable law you may not copy, modify, distribute, sell or lease any Product, and you may not reverse engineer or attempt to extract the source code of any Product for distribution outside of the Pianobook Site. All products sold on the site are non-refundable.

*Clarification: It is acceptable to use Pianobook products and samples as part of commercial recordings and YouTube content where the library is being reviewed. It is also acceptable to use free Pianobook products and samples to create a new Pianobook instrument, but we kindly ask you to seek the permission of the original owner before doing so. It is not acceptable to repurpose commercial Pianobook products or free Pianobook products, where you would then sell these on another site for your own commercial gain.

6.         No Resale of Products. For the avoidance of doubt, you are granted a personal non-transferable licence to use the Products solely for your own personal use. Products are for use only as described hereunder and must not be shared with or given or transferred to any third party or uploaded to any file sharing site or offered for resale or public transmission unless mixed into your own original music productions. The licence granted to you is effective only from the date you download, install or use the Product(s) (whichever is earliest) and such licence will remain in force until terminated by Pianobook as a result of any breach by you of this Agreement.

7.         Protection of Audio and Software Products. You expressly agree to take all reasonable steps to protect the Product(s) you download (including Documentation) from unauthorised copying or use. This includes protecting your devices and networks from unauthorised access (and you shall be deemed responsible for any third party use of your personal devices and networks). You agree not to modify any Product(s) or to otherwise circumvent any method or means adopted or implemented by Pianobook (or its partners or licensees) to protect against or discourage the unlicensed use of copying of the Product(s).

8.     Ownership. Ownership of, and title to, the Sample Packs, Libraries, and Products (and all digitally recorded sounds and/or copies therein) the Samplist/ User who submitted the work to the Pianobook Site. Copies are provided to you solely to enable you to exercise your rights hereunder. When you download any Product(s), you have a limited licence for use (and not ownership) of Product(s). Except as expressly authorised in this Agreement, you may not rent, lease, sell, sublicense, distribute, transfer, copy, reproduce, display, modify or time share any Product(s) or Documentation (or part or element thereof) outside of the Pianobook Site.

9.     Copyright. All rights not expressly granted to User are reserved. The Products are licensed, not sold, to you to be used for (or, in the case of Sound Files, reproduced within) only your own original musical compositions and productions. All copying, lending, duplicating, re-selling or trading of any Product or other Content is strictly prohibited, save as used for or incorporated into your original created works. Only the original purchaser of a Sound File has the right to embody and reproduce that Sound File within their music compositions/productions. This license is granted for a single user only (and is given on a worldwide basis). You agree and acknowledge that Pianobook has a proprietary interest in all sound recordings available via the Site, and that any use by you that frustrates the purpose of this Agreement or circumvents the revenue model of Pianobook (including without limitation selling, renting, or otherwise using or distributing un-integrated Content) may cause irreparable loss to Pianobook and its users in a way that could not be adequately compensated by damages. For the avoidance of doubt, no ownership of copyright is transferred by Pianobook to Users hereunder.

10.   Uploader (Samplist) Code of Conduct. You agree to obey all applicable laws in using the Site and the Content. You agree that you are responsible for any and all content you upload to the Pianobook site. 

The Pianobook team reserves the right to remove any material uploaded by Samplist that violates the EULA/ Terms. You have the right to request for any uploaded material to be removed from your account, provided that the request comes from the email address you used to create the account with.

Once your materials have been downloaded by a Pianobook User, we cannot reasonably request that they delete the materials that they have downloaded, and therefore, by uploading your material in the first instance, you agree that your materials can be used in perpetuity once downloaded. For this reason, please make sure that you are familiar with the terms below.

For any 3rd party software you use to create sampled instruments, you agree to not breach their EULA/ Terms of Use. Pianobook is not responsible for any EULA/ Terms of Use that are broken as a result of you using materials downloaded from the site. 

Whilst using the Pianobook Website and any materials (e.g. Templates) downloaded from the site, you specifically agree:

·           not to upload in any material which is unlawful, harassing, libellous, defamatory, abusive, threatening, harmful, vulgar, obscene, profane, sexually-oriented, racially-offensive or otherwise includes objectionable material;

·           not to upload copyrighted material that infringes on any patent, trademark, trade secret, or any material that is false, misleading, untruthful or inaccurate. 

·           not to engage in commercial activities and/or sales without the permission of the Pianobook team. This includes contests, advertisements, and any other activity that promotes a commercial entity outside of Pianobook. You may upload Lite (reduced) versions of material you sell elsewhere as a way of promoting that material without the permission of the Pianobook team, but in doing so, you accept responsibility for the use and reuse of the material downloaded within (e.g. other community members can create another version, remastered or otherwise, from your original material). 

·            not to intentionally or unintentionally upload material that contains software viruses or any other digital codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password or other information of Company or any third party; or

·           not to create an account that impersonates any person or entity you are not affiliated with and do not have the express permission to create an account for. 

·           not to collect personal data about other Users for commercial or unlawful purposes;

·           not to use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data or otherwise in relation to the Service; or

·           not to attempt to gain unauthorised access to our computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service.

·           not to attempt to gain unauthorised access to our computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service.

·           That the material you upload to the site can be used by the Pianobook Community and anyone who has access to pianobook.co.uk as part of original recordings and compositions whether commercial or non-commercial, free of restrictions, including royalty payments. 

·           That the material you upload to the site can be used by the Pianobook Community and anyone who has access to pianobook.co.uk as part of sample libraries/ sample packs that can be remixed, remastered, and reuploaded to pianobook.co.uk only. Any original material used for the resale of Sample Libraries, Sample Packs, and Audio Files outside of the Pianobook Site will be in breach of the User Code of Conduct. 

11.   User Code of Conduct (including Samplists and Demo Writers). You agree to obey all applicable laws in using the Site and the Content. You agree that you are responsible for your conduct whilst using the Service and you specifically agree:

·           not to participate in any form of activity which is unlawful, harassing, libellous, defamatory, abusive, threatening, harmful, vulgar, obscene, profane, sexually-oriented, racially-offensive or otherwise includes objectionable material;

·           not to abuse other Users or anyone else;

·           not to sell (or resell) any material downloaded from the website outside of Pianobook.  

·           not to register more than one account for yourself or anyone else;

·           not to contact anyone who has asked not to be contacted;

·           not to “stalk” or otherwise harass any other User;

·           not to create an account that impersonates any person or entity you are not affiliated with and do not have the express permission to create an account for. 

·           not to collect personal data about other Users for commercial or unlawful purposes;

·           not to use automated means, including spiders, robots, crawlers, data mining tools, or the like to download data or otherwise in relation to the Service; or

·           not to attempt to gain unauthorised access to our computer systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service.

·           not to submit audio or compositional demos either via the Website or SoundCloud that breach the copyright of another person and/or entity. 

·           not to violate the EULA/ Terms of SoundCloud, YouTube, and/or any other site you use to upload demos, compositions, or audio works for the Pianobook website. Pianobook holds no responsibility for your actions on 3rd party websites.  

·           That material you send to Pianobook for use as part of demos can be used by the Pianobook team for the purpose of creating playlists on SoundCloud to promote the Sample Packs on the website, or as part of a competition or community event. 

·           That material you send to Pianobook for use as part of demos can be used on Christian Henson’s and Pianobook’s respective YouTube Channels for the purposes of promoting the website and your work in perpetuity. Where possible, and provided that copy mistakes and/or typos are not made, you will be credited on the video or video description for your work. Accreditation is not guaranteed, and if you are not properly credited on a video where your music is used, please reach out to us directly via our Contact Form. If you remove your music from SoundCloud or any other site used to share your work, it will automatically be removed from the Pianobook SoundCloud Playlists and embedded Playlists on the site. You maintain any and all rights to your work. 

11.1. Tipping Code of Conduct. Pianobook has introduced a feature whereby community members can send a monetary tip via a 3rd party service (currently limited to Ko-Fi). Pianobook and Spitfire Audio do not hold any responsibility for funds distributed or sent via a 3rd party app and therefore will not be able to provide a refund under any circumstances. Pianobook will not intervene or hold responsibility in the case of any formal or informal dispute involving the distribution of Tips whereby a contributor has collaborated with others (e.g. Musicians or other Samplists). Pianobook reserves the right to remove any offending content that has resulted in a dispute regarding Tips or in a situation where a pack may bring the brand into disrepute. It is the responsibility of the Uploader (community member/ Samplists) to ensure they have ownership of all of the material they have uploaded. Therefore, Pianobook and Spitfire Audio do not take any responsibility for Tips that are earned using copyrighted material. Any legal proceedings will be brought directly to the Uploader/ Samplist as they are responsible for the material. You must not violate the EULA/ Terms of https://ko-fi.com/ which can be found here.

12.   Warranty and Indemnity. User hereby warrants and represents that User has the right and power to enter into and fully perform all of its obligations under this Agreement; User will defend, indemnify, and hold harmless Pianobook, its parents, subsidiaries, affiliates, directors, officers, employees, and agents, with respect to any claim, demand, cause of action, or debt or liability brought by or claimed by any third party, including attorneys’ fees, to the extent that any such claim is based upon or arises out of a breach of any of User’s representations, warranties, covenants, or obligations.

13.   No Endorsement by Pianobook. Pianobook does not pre-screen or monitor, and therefore does not endorse, (and Pianobook expressly disclaims any and all liability in connection with) any third-party content or any other materials created or exhibited or otherwise exploited by Users.

14.       Termination of this Agreement. We may at any time terminate this legal Agreement, in our sole discretion without prior notice to you and without reimbursement, if we believe that you may have breached (or acted in a manner indicating that you do not intend to or are unable to comply with) any term herein, or if we are legally required to do so by law, or if continuation is likely to be no longer commercially viable. You acknowledge that we will cooperate fully with investigations of violations of systems or network security at other sites, including cooperating with law enforcement authorities in investigating suspected criminal violations. Please note that any termination of this Agreement will also terminate your licence to use the Product(s).

15.   Liability. We shall not be liable for any indirect or consequential loss of any kind in contract, tort or otherwise arising out of your use of the Site or the Content or in relation to the goods and/or services that we provide. Nothing in this Agreement shall operate to limit or exclude liability for death or personal injury caused by negligence.

16.   Warranties. TO THE EXTENT PERMITTED UNDER APPLICABLE LAW IN YOUR TERRITORY, ALL PIANOBOOK PRODUCTS AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THE WARRANTY OF NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, PIANOBOOK MAKES NO WARRANTY THAT (A) THE SERVICES WILL MEET YOUR REQUIREMENTS, (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, (C) THE RESULTS OBTAINED FROM THE USE OF THE SERVICES WILL BE EFFECTIVE, ACCURATE OR RELIABLE, OR (D) THE QUALITY OF ANY MATERIALS OR SERVICES OBTAINED BY YOU FROM THE SITE, FROM US, OR FROM ANY THIRD PARTIES’ WEBSITES TO WHICH THE SITE IS LINKED, WILL MEET YOUR EXPECTATIONS OR BE FREE FROM MISTAKES, ERRORS OR DEFECTS. THE USE OF THE SERVICES IS AT YOUR OWN RISK AND WITH YOUR AGREEMENT THAT YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER DEVICE OR SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH ACTIVITIES.

19.   Indemnity. You agree to indemnify us for any loss or damage that may be incurred by Pianobook, including without limitation legal fees, arising from any breach by you of any warranty or other term herein or your misuse of any material or information obtained through the Site or the Content.

17.   Complaints. If you believe that you are the owner of the copyright or other rights in any material appearing on the Site, or if you have any other complaint about the Site or any Content or other posted materials, please contact us via our Contact Form. If you would like to notify us of Content, which you believe does not comply with this Agreement or otherwise is objectionable, please notify us via our Contact Form making sure to include both the Uniform Resource Locator (“URL”) for the non-complying item(s) and the reasons you believe it does not comply). Please note that there may be adverse legal consequences if you make a false or bad faith allegation through this process.

18.   Trade Marks. The brands, products and service names used in the Site and the Content (including without limitation, “Pianobook”, “Spitfire” and “Spitfire Audio”) are trademarks or trade names of Spitfire Audio or our trading partners unless otherwise stated.

19.   Hacking. You agree and undertake not to attempt to damage, deny service to, hack, crack, reverse-engineer, or otherwise interfere (collectively, “Interfere“) with the Site and/or the Content in any manner. If you in any way Interfere with any of these, you agree to pay all damages we incur as a result. We will cooperate with the authorities in prosecuting any User who Interferes with the Site or the Content or otherwise attempts to defraud Pianobook or any other parties through your use of the Site, the Content or any services provided hereunder. We reserve the right to deny any or all access or service to any User for any reason, at any time, at our sole discretion. You agree that we may block your access, and at our sole discretion to disallow your continued use of the Site and/or the Content. We reserve the right to take any action we may deem appropriate in our sole discretion with respect to violations or enforcement of the terms of this Agreement, and we expressly reserve all rights and remedies available to us at law or in equity.

20.   No Partnership. Your use of the Site and/or the Content creates no partnership, client, fiduciary or other professional relationship.

21.   Entire Agreement. This Agreement constitutes the entire agreement between the parties on the subject matter hereof. There are no understandings, agreements, or representations, oral or written, not specified herein regarding this Agreement.

22.   Force Majeure. We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations hereunder that is caused by events outside our reasonable control.

23.   Severance. If any part, term, or provision of this Agreement shall be held by a court of competent jurisdiction to be illegal, unenforceable, or in conflict with any relevant law, the remaining portions or provisions shall still remain valid and continue in full force and effect.

24.   No Waiver. No waiver, express or implied, by either party of any term or condition or of any breach by the other of any of the provisions of this Agreement shall operate as a waiver of any breach of the same or any other provision of this Agreement.

25.       Variation. This Agreement may be varied from time to time by our posting new terms on the Site, and any such amendment will be applicable to all Users from the date and time such revised terms have been posted on the Site. Your continued use of the Site or Services constitutes agreement with and acceptance of any such amendment or other changes. We constantly experiment and innovate with the Site in order to provide a better experience for Users and you hereby acknowledge and agree that the form and nature of the Services may change from time to time without prior notice to you.

26.   Law and Jurisdiction. This Agreement shall be governed by and construed in accordance with the laws of England. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the Courts of London, England.

PIANOBOOK SITE VISITOR AGREEMENT

ANY PERSON OR ENTITY (“User” or “You”) VISITING, USING OR OTHERWISE ACCESSING THE SITE AT www.pianobook.co.uk (“Site”) OR ANY OF THE INFORMATION CONTAINED WITHIN THE SITE AGREES TO AND IS BOUND BY THE FOLLOWING TERMS AND CONDITIONS OF THIS VISITOR AGREEMENT (“Site Visitor Agreement“).

1.     Pianobook.co.uk. The Site, together with all content, data and other materials contained therein (“Content”) is owned or controlled by Pianobook, a subsidiary of Spitfire Audio Holdings Limited, a company incorporated in England with its registered office at 5th Floor 89 New Bond Street, London W1S 1DA, UK. Spitfire Audio Holdings Limited is referred to in these terms and conditions as “we“, “us“, “our” or “Pianobook”.

2.     Registration. If you wish to download products or otherwise use the Service in any way, you must agree to the terms of the End User License Agreement.

3.     Pianobook. Pianobook is an online distribution service (“Service”) that allows you to browse and download pre-recorded sounds, sound effects, loops and samples (“Products”).

4.     Use of the Site. The Site is intended only for the purposes specified and your use of the Site and/or the Content is entirely at your own risk. Please note that, whilst we endeavour to provide and host accurate and useful information, the Content may be inaccurate and is subject to change, often at very short notice. To the fullest extent permitted by applicable law, all Content is provided without any representations or warranties of any kind (either implied or express).  Specifically, Pianobook does not represent or warrant that the Site or the Content will be accurate, up-to-date, complete or free of defects, including (without limitation) viruses or other harmful elements.

5.     Featured Links. The Site may display and/or refer to links to other websites and services from time to time. Pianobook: (i) does not endorse or take responsibility for the content of such sites or services, (ii) is not responsible for the availability of such sites or services; and (iii) will not be liable in any way for any loss or damage which you may suffer by using such websites.  If you decide to access linked sites or services, you do so at your own risk.

6.     Linking to the Site. Any other website may link to the Site, provided it does not imply any endorsement of its products or services by Pianobook, does not misrepresent its relationship with or present false information about Pianobook, does not infringe any intellectual property or other right of any person and complies with all relevant laws and regulations. Please note, however, that Pianobook reserves the right to withdraw such permission at any time (generally or in relation to specific site(s) as applicable in each case) and to take any other appropriate action.

7.     Content. Pianobook, unless otherwise stated, owns or controls all relevant rights in the Site and the Content.  You may not publish, distribute, extract, re-utilise, or reproduce any part of the Site or the Content in any form (including storing it in any medium) other than as expressly allowed herein or as permitted by applicable law.

8.     Hacking. You agree not to attempt to damage, deny service to, hack, crack, reverse-engineer, or otherwise interfere (collectively, “Interfere“) with the Site and/or the Content in any manner. If you in any way Interfere with any of these, you agree to pay all damages incurred by Pianobook. We will cooperate with the authorities in prosecuting anyone who Interferes with the Site and/or the Content or otherwise attempts to defraud Pianobook or any other parties through use of the Site and/or the Content or the services provided therein. Pianobook reserves the right to deny any or all access to the Service to any User for any reason, at any time, in our sole discretion. User agrees that we may block User’s access at any time, and at our sole discretion we may disallow User’s continued use of the Site or the Content without notice. We reserve the right to take any action we may deem appropriate in our sole discretion with respect to violations or enforcement of the terms of this Site Visitor Agreement, and we expressly reserve all rights and remedies available to us at law or in equity.

9.     Complaints. If you would like to notify us of any content which you believe does not comply with applicable law or otherwise is objectionable, please notify us via our Contact Form (making sure to include specific references for the objectionable content and the reasons you believe it does not comply).

10.  Trade Marks. The brands and service names used in the Site and/or the Content (including without limitation, “Pianobook” and “Spitfire Audio”) are trademarks or trade names of Spitfire Audio or its trading partners unless otherwise stated.  You may not distribute products or offer services under or by reference to or otherwise use or reproduce any such trademarks, trade names or taglines without the prior written consent of Pianobook and Spitfire Audio.

11.  Limitation of Liability. User agrees that the liability of Pianobook to User under this Site Visitor Agreement shall be limited to direct damages of up to the amount User has actually paid to Pianobook for its services (or, if greater, £100).

12.  Indemnity. User agrees to indemnify Pianobook for any loss or damage that may be incurred by Pianobook (its directors, employees and/or affiliates, including without limitation any legal fees, arising from User’s use of the Site, the Content, or User’s use of any information obtained therefrom.

13.  Severability. If any part, term, or provision of this Agreement shall be held by a court of competent jurisdiction to be illegal, unenforceable, or in conflict with any relevant law, the remaining portions or provisions shall still remain valid and continue in full force and effect.

14.  Changes to this Agreement. This Agreement and/or any other terms of service may be changed without prior notice, and any such amendment will be applicable to all Users from the date and time such revised terms have been posted on the Site (or otherwise made available to you). User’s continued use of the Site, the Content or services provided by Pianobook, constitutes agreement with and acceptance of any such amendment or other changes.

15.  Law and Jurisdiction. This Agreement shall be governed by and will be construed in accordance with English Law. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the English Courts.
